We provide web design, development, and digital transformation (DX) services for businesses. The specific scope, deliverables, and timeline for each project are determined through individual agreements with clients.
Intellectual Property Rights
Upon full payment of the agreed project fees, all intellectual property rights in the deliverables (including source code, design files, and content created specifically for the client) are transferred to the client, unless otherwise specified in the individual agreement.
We retain the right to use general techniques, know-how, and non-client-specific code (e.g. open-source libraries, reusable components) in future projects.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. This obligation survives the termination of the agreement.
Limitation of Liability
To the maximum extent permitted by applicable law, our total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
We shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the Yokohama District Court (横浜地方裁判所) as the court of first instance.
